Welcome to Nivan. These Terms & Conditions ("Terms") govern your access to and use of www.nivan.live and any related pages, forms, events, communities, and communications (collectively, the "Services") operated by Nivan Ventures LLC ("Nivan," "we," "us," or "our").

By accessing or using the Services, registering for an event, or submitting your information through one of our forms, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Eligibility

You must be at least 16 years old to use the Services and at least 18 years old to register for or attend our events or enter into any paid transaction. By using the Services, you represent that you meet these requirements and that the information you provide is accurate and complete.

Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations

  • Submit false, misleading, or fraudulent information

  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems

  • Use automated tools to scrape, harvest, or collect data from the Services without our permission

  • Upload or transmit viruses, malicious code, or harmful material

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

  • Use the Services to harass, abuse, or harm others, or to send spam or unsolicited communications

We reserve the right to restrict or terminate access to anyone who violates these Terms.

Community Membership and Accounts

Some parts of the Services, including our community, may require you to register or join through a third-party platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to follow any community guidelines we publish. We may suspend or remove members who violate these Terms or our community guidelines.

Events, Registration, and Payments

Registration. When you register for an event, you agree to provide accurate information and to comply with any event-specific rules, codes of conduct, or venue policies.

Payments. Payments for tickets, sponsorships, or other products are processed by our third-party ticketing and payment providers. By completing a purchase, you authorize the applicable charges and agree to the provider's terms in addition to ours.

Cancellations and refunds. Refund and cancellation terms are set out at the point of purchase or in the applicable event details. Unless otherwise stated, tickets may be non-refundable. We reserve the right to change event dates, speakers, format, location, or programming, or to cancel an event, in which case we will communicate available options to registered participants.

Code of conduct. We are committed to providing a respectful and inclusive environment. We may remove any participant from an event, without refund, for behavior we determine to be disruptive, harassing, or harmful.

Intellectual Property

The Services and all content we provide — including text, graphics, logos, the Nivan name and brand, designs, layouts, photographs, videos, and other materials — are owned by or licensed to Nivan Ventures LLC and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from our content without our prior written permission, except for personal, non-commercial use as permitted by the Services.

User Submissions

When you submit content to us — such as a speaker application, partner inquiry, feedback, or other materials ("Submissions") — you represent that you have the right to share it and that it does not infringe the rights of any third party. You grant Nivan a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your Submission for the purpose of operating, promoting, and improving the Services and our events. We are not obligated to use, review, or return any Submission.

If you appear at or attend our events, you acknowledge that photography, audio, and video recording may take place and may be used by Nivan for promotional and archival purposes.

Third-Party Links and Services

The Services may contain links to or rely on third-party websites, platforms, and tools that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

Email and Communications

By subscribing or registering, you consent to receive emails and communications related to the Services and events you've signed up for. You can unsubscribe from marketing emails at any time using the link in any email or by contacting us. See our Privacy Policy for details on how we handle your information.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Nivan disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any content, event, or outcome will meet your expectations.

Any information shared through the Services or at our events is for general informational purposes and does not constitute professional, legal, financial, or business advice.

Limitation of Liability

To the fullest extent permitted by law, Nivan Ventures LLC and its members, officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Services or attendance at our events.

To the extent we are found liable, our total liability for any claim arising out of or related to the Services will not exceed the amount you paid to us, if any, in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Nivan Ventures LLC and its members, officers, employees, contractors, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Submissions, your conduct at our events, or your violation of these Terms or any applicable law.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above. If we make material changes, we will provide additional notice where appropriate. Your continued use of the Services after changes take effect means you accept the updated Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.

Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms constitute the entire agreement between you and Nivan regarding the Services and supersede any prior agreements.
